These Terms of Service ("Terms") form a legal agreement between you and SimpleLogic Solutions LLC ("SimpleLogic," "we," "us," or "our") governing your access to and use of our Services.

Paid features require payment of applicable fees. Unless otherwise stated, fees are billed in advance, are non-refundable except as required by law, and exclude applicable taxes.
The Services, including software, branding, and documentation, are owned by Launchd or its licensors and protected by intellectual property laws. No rights are granted except as expressly set forth in these Terms.
Each party may receive confidential information from the other and agrees to protect it with reasonable care and use it only for purposes of this agreement.
We may suspend or terminate access to the Services for violations of these Terms, legal or security requirements, or non-payment. You may stop using the Services at any time.
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Launchd will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.
To the maximum extent permitted by law, Launchd's total liability for claims arising out of or related to the Services will not exceed amounts paid by you for the Services during the twelve (12) months before the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless Launchd and its affiliates from claims, damages, and costs arising from your use of the Services or violation of these Terms.
These Terms are governed by the laws of the State of Tennessee, excluding conflict-of-law principles. Disputes will be resolved in state or federal courts located in Davidson County, Tennessee.
We may modify these Terms periodically. If material changes occur, we will update the "Last updated" date and provide notice where required.
